• "Account" refers to the account successfully created by the User on the Company’s Website by providing information such as name, age, gender, contact details, username, password, and any subsequent updates made to that information during the registration process.
• "Company" means Sankalp Diagnostics OPC. Pvt. Ltd., or any of its assignees, incorporated under the Companies Act, 1956.
• "Customer" refers to any User who accesses the Website and completes the registration process
• "E-Health Packages" refers to the customized health diagnostic packages offered by the Company, along with any other packages that may be introduced by the Company from time to time via the Website.
• "Fee" refers to the price set by the Company for the E-Health Packages or Services, as displayed on the Website.
• "Home Service" refers to the Company’s service that facilitates sample collection at the Customer's location.
• "Order ID" refers to the unique identification number assigned to a Customer when a request for booking Services or E-Health Packages is made.
• "Services" refers to the services provided by the Company
• "User" refers to any individual who accesses the Website.

Interpretation In this Agreement:

• References to recitals, clauses, and sub-clauses are references to the respective sections of this Agreement.
• Headings are for reference purposes only and do not affect the interpretation of the Agreement.
• Singular terms include the plural, and vice versa.
• Gendered terms apply to all genders.
• References to statutes include any amendments or re-enactments of those statutes.
• Any time limits mentioned are binding unless mutually agreed otherwise in writing by the parties.

ELIGIBILITY To access the Website and its Services, You must be at least 18 years of age or the legal age to form a binding contract in your jurisdiction, if higher than 18. Membership or use of the Website is void where prohibited by law, and access in such jurisdictions is deemed revoked ab initio. By using the Website or its Services, You represent that You have the legal authority to enter into this Agreement and will comply with all applicable laws and regulations.

SERVICES The Website allows Users and Customers to access certain services (“Services”), as detailed below:

1. Non-Registered Users may view limited content, including snapshots of E-Health Packages and offers.
2. Registered Users who have completed the registration and paid the applicable Fee are entitled to:
   • View snapshots of E-Health Packages and offers.
   • Book one or more E-Health Packages.
   • Opt for Home Service (subject to availability), or visit a designated center for sample collection.
   • Receive communication via email, SMS, or phone call, including Order ID and package details.
   • Obtain test results within the suggested timeframe.
3. Services are non-transferable; only the individual to whom the E-Health Package is assigned may use the services.
4. Additional conditions or instructions may be provided with each E-Health Package, which take precedence over the Terms of Use or Privacy Policy in case of conflict.
5. The Company reserves the right to modify its Services.

RESTRICTIONS ON USE You agree not to use the Website:

• For unlawful purposes or in violation of applicable laws.
• To infringe the intellectual property or personal rights of others.
• To post defamatory, obscene, abusive, or offensive content.
• To transmit misleading or false information.

Furthermore, You must not:

• Engage in unauthorized access or security breaches.
• Interfere with the operation of the Website by transmitting harmful software or overwhelming the system.
• Modify, reverse-engineer, or attempt to access restricted areas of the Website.
• Use bots, spiders, or similar tools to access, index, or scrape content.

REMEDIES WITH THE COMPANY The Company reserves the right to review and remove any content that violates this Agreement, particularly the restrictions. It may also terminate the membership of violators and take legal action, including cooperating with law enforcement as necessary.

REGISTRATION PROCESS

To access the Services, Users must complete the registration process by creating a login ID. Registration is mandatory and requires providing basic personal information such as name, age, gender, email address, billing and collection addresses, postal code, and phone number to create an Account.

Once the registration is complete and the required fee is paid, Users become Customers and are entitled to use the Services. The Website may offer the option to hide non-mandatory information, but mandatory fields, marked by asterisks, must be filled. The Company reserves the right to request additional information if necessary.

Customers acknowledge that the Company may verify the information provided during registration and may request further details if needed. The Company may also close an Account if any information provided is found to be false or insufficient.

PAYMENT

The Company offers various payment options, including credit cards (Visa, MasterCard), debit cards, cash cards, internet banking, and UPI. Services will begin only after payment is successfully received by the Company.

Payment methods may be subject to additional terms and conditions. The Company reserves the right to refuse or cancel any order if a product or package is listed at an incorrect price. If payment has already been processed, it will be refunded within 7-14 working days, with email notification provided.

Customers may cancel or modify orders, subject to applicable fees. The Company is not responsible for any issues or malfunctions with payment methods. The responsibility for completing payment rests with the Customer.

The Company reserves the right to charge listing fees and transaction fees for certain services and may adjust these fees at any time without prior notice. Customers are also responsible for any applicable taxes, charges, or levies when using the Services, and the Company may adjust fees at its discretion.

REGISTRATION PROCESS To use the Services, the User must complete the registration process, which involves creating a login ID. Registration is mandatory for Customers and requires providing basic information, such as name, age, sex, email address, billing address, collection address, postal code, and phone number, to create an account.

Only after completing the registration, Users become Customers and are eligible to use the Services, subject to payment of the applicable fees. The Website may allow the option to hide non-mandatory information. However, the Company reserves the right to request additional information if deemed necessary. If any information is found false or insufficient, the Company may close the account.

The Company may screen and verify the information provided by the Customer/User and, at its discretion, may ask for further information even after the registration process.

PAYMENT The Company provides payment options, including credit cards, debit cards, cash cards, and internet banking. The Services will only commence after payment has been successfully received.

Payment mechanisms may be governed by additional terms set by the Company, and the Company reserves the right to cancel orders listed at an incorrect price. If a payment has already been processed for such orders, refunds will be issued within 7-14 working days. Cancellation or modification of an order may incur charges as specified.

The Company may charge listing fees, transaction fees, or other fees, which may be subject to change without prior notice. Users are responsible for paying all applicable fees, taxes, and charges associated with the use of the Services. The Company is not liable for issues related to payment procedures and the responsibility for payment lies solely with the Customer/User.

DELIVERY The Company aims to release test reports to the Customer within the specified time, typically within seven working days, unless stated otherwise. Delivery time includes processing and additional time for courier services. While efforts will be made to deliver on the preferred date, the Company is not liable for delays.

In cases of partial payment, the Company may withhold test reports due to administrative or technical reasons. Reports may also be collected in person during working hours from the designated collection center.

MODIFICATION OF TERMS OF USE The Company reserves the right to modify these Terms of Use, the Website, and the Services at any time without prior notice. Modifications will be effective upon implementation on the Website. Users are responsible for reviewing the Terms of Use periodically to stay informed of any changes.

MAINTENANCE The Company may deactivate or suspend access to the Website or Services for maintenance or related work without prior notice. The Company will not be held liable for any loss suffered due to such deactivation or suspension.

TERM AND TERMINATION These Terms of Use remain in effect during the use of the Website. For Customers, the Terms begin after registration and remain valid until terminated. The Company may terminate the agreement immediately, without notice, if the account remains unused for six months, if there is a breach of terms, or if it is in the public interest.

Certain clauses of the Terms will survive termination, including those related to liabilities and ownership.

LIABILITIES UPON TERMINATION If terminated, the Customer will not be refunded any part of the fee.

OWNERSHIP All content, logos, software, and intellectual property on the Website are owned by the Company or its licensors. Users are prohibited from modifying, distributing, or exploiting any material on the Website without prior permission.

COPYRIGHT DISPUTE POLICY If the Company believes material on the Website infringes on copyrights, it will issue an Infringement Notice. If not resolved, the Company reserves the right to take legal action.

DISCLAIMER The Website is provided "as is," and the Company makes no warranties, expressed or implied, regarding its operation or the accuracy of the content. The Company is not responsible for any user conduct or for ensuring the Website is free from viruses or harmful components.

LIMITATION ON LIABILITY The Company is not liable for any failure to perform obligations due to causes beyond its control. It is also not responsible for indirect, incidental, or consequential damages arising from the use of the Services.
